1.Purpose of Agreement

This agreement establishes the terms under which Vendor will provide Print-on-Demand (POD) manufacturing and fulfillment services to creators using the Ramio platform.

2.Scope of Services

Vendor agrees to provide the following services to Ramio Creators:

  • Manufacturing: High-quality POD products (e.g., t-shirts, hoodies, mugs).
  • Customization: Precise printing as per creator-submitted designs.
  • Logistics: End-to-end fulfillment (packaging and shipping).
  • Tracking: Real-time order status and inventory updates.
  • Quality Control: Rigorous pre-dispatch inspection.

3.Pricing & Payment Terms

Base Manufacturing Cost

Fixed wholesale cost per product unit.

Platform Commission

5% to 10% retained by Ramio per order.

Creator Margin: Creators will set their own selling price above the Base Cost + Platform Fee.

Settlement Cycle: Vendor payments settled on a weekly basis for completed and non-returned orders.

4.Fulfillment SLAs

Standard orders must be dispatched within 48 hours.

Expected delivery within 3–7 business days via partnered courier.

5.Quality Assurance

Vendor guarantees a minimum defect rate of <1%. All defective products reported within 7 days will be reprinted at Vendor's cost.

6.Replacement & Defects

Vendor shall bear the full cost of reprints and shipping for:

  • Printing errors or misalignment
  • Incorrect product type or size dispatched
  • Packaging-related damages incurred before handover to courier

7.Returns & Cancellations

Return shipping costs for manufacturing defects are borne by the Vendor. Customer "Change of Mind" returns are subject to Ramio's standard terms.

8.Marketing & Co-Branding

Vendor agrees to collaborate on promotional campaigns. Featured Partner status on the Ramio dashboard may be granted based on fulfillment performance.

9.Exclusivity (Optional)

Vendor may choose to provide exclusive pricing or early access to new product blanks specifically for Ramio creators.

10.Intellectual Property

Vendor shall not reuse Creator designs, print extra units for secondary sale, or share design files with third parties. Strict data isolation is required.

11.Confidentiality

Vendor must protect customer PII, internal platform pricing, and all proprietary information shared during the course of the partnership.

12.Termination

Either party may terminate the partnership with 30 days' written notice. Immediate termination is permitted for fraud, gross negligence, or repeated SLA breaches.

13.Dispute Resolution

Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
